1. Agreement to Terms

By accessing or using MicroDealRoom (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including account holders and any individuals with access to a shared workspace.

2. Description of Service

MicroDealRoom is a real estate deal intelligence engine that allows real estate professionals to turn property deal data into professional, investor-grade packages — including shareable deal pages, PDF reports, Word documents, and lead capture forms. The Service includes tools for inputting deal financials, generating deal packages, exporting reports, sharing deals publicly, capturing investor leads, and tracking deal analytics.

The Service is not a real estate brokerage, MLS listing platform, or investment advisory service. We do not provide investment advice, property valuations, or legal opinions. All deal information is user-generated and the responsibility of the user.

3. Account Terms

• You must be at least 16 years of age to create an account
• You are responsible for maintaining the security of your account credentials
• You must provide accurate information when creating your account
• One person or entity may not maintain multiple free accounts
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized use of your account

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Store or process data belonging to third parties without appropriate consent
• Share false, misleading, or fraudulent deal information
• Attempt to gain unauthorized access to other user accounts or our systems
• Misrepresent real estate values, conditions, financials, or ownership in deal packages
• Scrape, crawl, or otherwise harvest data from the Service
• Resell or sublicense access to the Service without our written consent
• Use the Service for any illegal, deceptive, or harmful purpose

5. Subscription & Billing

Paid subscriptions are billed monthly or annually in advance.

• All prices are displayed in USD and exclude applicable taxes
• Your subscription renews automatically unless cancelled before the renewal date
• You may cancel your subscription at any time through the billing settings; access continues until the end of the billing period
• We offer a 7-day money-back guarantee on first-time paid plan subscriptions
• Pay-Per-Deal purchases are non-refundable once a deal package has been created
• We reserve the right to change pricing with 30 days' notice to existing subscribers
• Downgrading your plan may result in data becoming inaccessible if limits are exceeded
• All payments are processed securely by Stripe

6. User Content & Deal Packages

You retain all rights to the data, content, images, and financial information you input into the Service. We do not claim ownership over your deal packages, uploaded content, or any data you create within the Service.

You are solely responsible for:

• The accuracy and completeness of all deal information you publish
• Ensuring you have the legal right to share any property information or images
• Complying with all applicable real estate laws, advertising rules, and fair housing regulations in your jurisdiction
• Obtaining any necessary consent from property owners, partners, or co-investors before publishing deal information

You grant us a limited license to process, store, and display your data solely for the purpose of providing the Service to you.

7. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring you have the appropriate rights and permissions to collect and store viewer contact information through the lead capture feature, in compliance with applicable data protection laws (including GDPR where applicable).

8. Disclaimers

The Service is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected. We do not guarantee any specific results from the use of the Service, including but not limited to deal closure rates, investor interest, or property sale outcomes.

We make no representations about the accuracy, reliability, or completeness of any deal information published through the Service, as all content is user-generated.

9. Limitation of Liability

To the maximum extent permitted by law, MicroDealRoom shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, arising from your use of or inability to use the Service. Our total liability for any claim shall not exceed the amounts you paid us in the 3 months preceding the claim.

10. Termination

We reserve the right to suspend or terminate your account without prior notice if you violate these Terms, engage in fraudulent activity, or if required by law. You may terminate your account at any time through the account settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.

11. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
