1. Agreement to Terms

By accessing or using Micro Deal Room (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including account holders and any individuals with access to a shared workspace.

2. Description of Service

Micro Deal Room is a private campaign management CRM for brands, agencies, and marketing professionals to organise and track influencer marketing campaigns. The Service includes tools for creator relationship management, deal pipeline tracking, gifting and payment tracking, content approvals, usage rights management, campaign briefs, and AI-assisted content generation.

The Service is not a public influencer marketplace. There is no creator discovery, public creator profiles, or bidding functionality.

3. Account Terms

• You must be at least 16 years of age to create an account
• You are responsible for maintaining the security of your account credentials
• You must provide accurate information when creating your account
• One person or entity may not maintain multiple free accounts
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorised use of your account

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the intellectual property rights of others
• Store or process data belonging to third parties without appropriate consent
• Send spam or unsolicited messages to influencers or creators
• Attempt to gain unauthorised access to other user accounts or our systems
• Use the AI tools to generate misleading, deceptive, or harmful content
• Scrape, crawl, or otherwise harvest data from the Service
• Resell or sublicense access to the Service without our written consent

5. Subscription & Billing

Paid subscriptions are billed monthly or annually in advance.

• All prices are displayed in USD and exclude applicable taxes
• Your subscription renews automatically unless cancelled before the renewal date
• You may cancel your subscription at any time through the billing settings; access continues until the end of the billing period
• We offer a 7-day money-back guarantee on first-time paid plan subscriptions
• We reserve the right to change pricing with 30 days' notice to existing subscribers
• Downgrading your plan may result in data becoming inaccessible if limits are exceeded
• All payments are processed securely by Stripe

6. AI Tools & Content

Our AI tools use OpenAI's language models to generate outreach messages and campaign briefs. By using these tools:

• You acknowledge that AI-generated content may contain errors or inaccuracies
• You are responsible for reviewing and editing all AI-generated content before use
• You retain ownership of the content you generate using our AI tools
• We do not guarantee the accuracy, quality, or suitability of AI-generated content
• AI generation limits apply per plan and reset monthly
• We reserve the right to suspend AI access if the tools are used to generate harmful content

7. Intellectual Property

The Service, including all software, design, features, and content provided by us, is owned by Micro Deal Room and protected by applicable intellectual property laws. You retain all rights to data you input into the Service. We do not claim ownership over your creator CRM data, campaign content, or AI-generated outputs.

You grant us a limited licence to process and store your data solely for the purpose of providing the Service to you.

8. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring you have the appropriate rights and permissions to store creator contact information in the platform, in compliance with applicable data protection laws (including GDPR where applicable).

9. Disclaimers

The Service is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected. We do not guarantee any specific results from the use of our AI tools or campaign management features.

10. Limitation of Liability

To the maximum extent permitted by law, Micro Deal Room shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or loss of data, arising from your use of or inability to use the Service. Our total liability for any claim shall not exceed the amounts you paid us in the 3 months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your account without prior notice if you violate these Terms, engage in fraudulent activity, or if required by law. You may terminate your account at any time through the account settings. Upon termination, your data will be deleted in accordance with our Privacy Policy.

12. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes via email or in-app notification at least 14 days before they take effect. Continued use of the Service after changes constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction.
